There are often cases when the children of famous people do not shine with talent and spend most of their lives resting on the laurels of their parents. Fortunately, there are exceptions to this rule, an excellent example of which is Anna Mikhalkova, an actress, daughter of director Nikita Mikhalkov. Today her name is less and less associated with her father, because she herself is an integral and accomplished person. She created a recognizable role of a “simple Russian woman”, but is not afraid to go beyond it, constantly surprising viewers with new images and skillful acting.

Childhood and family

From the first days of her life, Anna was inextricably linked with the world of art. Her father is director Nikita Mikhalkov, who needs no introduction. Mom, Tatyana Mikhalkova, is a famous literary columnist, film critic and public figure. The actress’s grandfather is a children’s writer, poet, publicist and author of two anthems Sergei Mikhalkov. Her uncle is director Andrei Konchalovsky, and her cousin is Yegor Konchalovsky. The family tree of the Mikhalkov nobles also included masters of painting, brilliant doctors, and artists.

Finding yourself: becoming an actress

After graduating from school, Anna successfully passed the exams at VGIK. Alma mater gave her the necessary basis for her future career. Having graduated from the university with honors, the girl, unexpectedly for those around her who predicted her fame as an actress, decided to get a second higher education at the Faculty of Law of MGIMO. Having learned about Sheikh Abdullah’s reaction, Mikhail Bolotin, the main owner and president of Tractor Plants, a large concern that includes Promtractor, could breathe a sigh of relief. At the beginning of the crisis, in 2008, the concern had two problems: debts and low demand for products. For now, both have to be dealt with using exotic methods. In terms of sales, Bolotin really hopes for Nigeria, and the family connections of his junior business partner, Albert Bakov, once helped him deal with his debts.

During the crisis, all machine builders had a hard time. But Tractor Plants also faced specific problems related to the structure and strategy of the holding, the creation of which took entrepreneur Mikhail Bolotin more than 10 years.

A graduate of the Moscow Institute of Chemical Technology, Mikhail Bolotin, who graduated from the Moscow Chemical Technology Institute two years later than Mikhail Khodorkovsky, went into business at the same time as him. Only Khodorkovsky, in the late 1980s, organized his own “Menatep” under the Frunzensky district committee of the Komsomol, and Bolotin’s native institute became the base for the youth and student center “Most” Bolotin. We started with scientific developments and later began trading in chemical reagents and non-ferrous metals. At the same time, Bolotin met Albert Bakov, who now owns 20% of the Tractor Plants concern; the rest of the stake is owned by Bolotin himself. In the late 1990s - early 2000s, Bakov served as vice-governor of the Ulyanovsk region.

Back in the mid-1990s, Bolotin began buying shares in Promtractor, which produced bulldozers and pipe layers for wealthy clients - gas workers, oil workers, coal miners, and metallurgists. After 2001, the concern included the Vladimir, Lipetsk and Onega tractor plants, as well as the Krasnoyarsk Combine Harvester Plant and Kurganmashzavod.

It cannot be said that Tractor Plants is a complete monopolist, but Bolotin even now controls significant shares in its market sectors. During January - October 2010, the concern produced 274 combine harvesters (7% of all-Russian production), 613 bulldozers and pipe layers (63%), 1,773 wheeled tractors (39%) and 713 tracked tractors (53%).

Before the crisis, the shares were even larger - it was just the right time to conduct an IPO on a Western stock exchange, which was what Bolotin and Bakov were planning to do at the end of November 2008. “We planned to sell 25% of the shares and raise $500 million, but we were 2–2.5 months late,” Bolotin regrets. The funds raised were supposed to be used to repay loans spent on purchasing assets, then the concern would enter 2009 with a light debt of 12 billion rubles - this is less than a third of annual revenue. The crisis ruined all plans.

In the fall of 2008, when non-payments between enterprises began to grow like an avalanche, the demand for cars disappeared. Purchasing engineering products is an investment in development, so during a crisis they are the first to be abandoned until there is financial stability and confidence in the future. In addition, interest rates on loans have increased, requirements for collateral and assessment of the financial condition of borrowers have become more stringent.

This is how the representative of a competitor company, Taras Zakorchmenny, deputy director of the sales center of the Chelyabinsk Tractor Plant - Uraltrak, describes the first months of the crisis: “Orders from builders were the first to disappear, then mining and processing plants, road workers and even oil workers began to refuse purchases. While in other industries the decline occurred by 20–30%, sales of machine manufacturers in 2009 fell by more than half.”

Mikhail Bolotin positioned his concern as a “Russian Caterpillar” - a manufacturer of high-quality and comfortable modern equipment. To achieve this, tractors were equipped with imported engines, hydraulics and electronics, which increased the price by 25–30% compared to the prices of Russian competitors. At first, the strategy paid off. However, during the crisis, the products of “Machine-Building Plants” under the “Chetra” brand turned out to be unclaimed. Expensive Western equipment retained its market share of several percent. (One of the dealers explains that clients bought it for image purposes: “To show that everything is good in business.”) In general, demand has shifted to the cheapest segments. Suppliers of Chinese equipment have deployed in full force with prices 1.5–2 times lower than Russian ones. Ultra-cheap Chinese equipment was sometimes used as disposable equipment: the contractor would work out his site in the taiga and abandon it there - transferring it to another site costs more than the equipment itself. “The Chinese appeared on the market three years ago, and last year it was already an invasion,” says Zakorchmenny. - We tried to get closer to them in terms of prices, but realized that it was useless. You can’t make a tractor out of wood.” According to his estimates, the share of Chinese technology on the market is already 20–30% - a colossal increase.

Competitors note another circumstance that seriously complicated the position of Tractor Plants during the crisis. The management of the concern, despite having a headquarters in Cheboksary, is closed to Moscow, to Bolotin. An advance payment of 30% for the ordered equipment goes to Moscow, after three months (the production period of a tractor or bulldozer) the proceeds from its sale go here, and only then, according to Bolotin’s decision, is it distributed among the factories. Enterprise managers do not have the opportunity to quickly influence the situation on the ground.

For example, the year before last the Cheboksary Promtractor, by Bolotin’s decision, stopped paying for electricity, explaining this to the power engineers due to a lack of money. The supplier - Chuvash Energy Sales Company - did not believe it. On October 26, 2009, with the support of bailiffs, power engineers burst into the plant and did not find two meters. There followed an accusation of energy theft and a lawsuit to declare Promtractor bankrupt with a debt of 90.6 million rubles.

In addition, unlike colleagues at competing factories, directors of Bolotin’s factories do not have strong ties with local authorities - the owner communicates with them personally during field visits. As a result, the concern's enterprises did not receive practical assistance during the crisis from regional authorities.

As a result, the concern found itself in a deep crisis. For example, sales of Promtractor in 2009 compared to 2008 fell by 51%, the Volgograd Tractor Plant - by 60%, the Krasnoyarsk Combine Harvester Plant - by 31%, and the Altai Motor Plant - by 65.5%. Even at Kurganmashzavod, which produces armored vehicles for defense orders, annual revenue fell by 26.5%. (All data is from the SPARK system.)

The total debt of Tractor Plants approached 34 billion rubles, despite the fact that revenue decreased from 44 billion to 30 billion rubles, and production volume in physical terms fell by more than half. How can one not pay attention to Nigeria, which is about to purchase equipment in an amount exceeding the annual sales volume of the concern?

Nigeria is a densely populated oil-producing country with extremely backward agriculture: $3 billion worth of food is purchased abroad annually, and of almost 32.2 million hectares of arable land, according to the World Bank, only half is used. The country urgently lacks modern technology and transport infrastructure. The concern of Bolotin and Bakov offered its services to Africans - and in October 2010, the Ministry of Agriculture of Nigeria and Tractor Plants signed a memorandum of cooperation. The document provides for the supply of tractors and agricultural machinery to Nigeria, the organization of assembly production, irrigation of land and construction of roads in agricultural areas. The total cost of the project is €900 million.

“We were in the right place at the right time, the Chinese offered them cooperation on this program for $5 billion,” Albert Bakov says enthusiastically. “It is clear that our proposals look much more profitable.” According to him, the program will be financed from state and local budgets, and private capital will also be attracted. “The money is fine there. The smallest Nigerian bank has an authorized capital of $300 million,” Bakov describes the situation. The project should be completed in 3-5 years, he says, adding that the first cars are about to be sent to Nigeria.

Bakov was closely involved in Nigeria for almost two years. In 2009, preparations were being made for the first ever visit of the Russian President to Nigeria, and in anticipation of this event, the public Business Council “Russia - Nigeria” was created. The vice-president of Tractor Plants headed it. He attended all the events, without exception, in which Dmitry Medvedev participated during his visit to Nigeria, and became acquainted with a lot of local officials. After Medvedev’s visit ended, Bakov stayed in Nigeria for another day: he convinced and eventually convinced local officials that Russia could help African farmers. “We will show Nigerians what they can actually do in agriculture, which is simply not there right now!” - Bakov says enthusiastically.

But in order to pull the concern out of the debt hole, one Nigerian project - even if it follows an optimistic scenario - is not enough. Additional measures are needed.

Among the largest creditors of Tractor Plants were Sberbank, VTB, Ak Bars, Raiffeisenbank and Alfa Bank, known for its irreconcilable position on debt repayment. The concern owed 19 billion rubles to state banks, about 13 billion rubles to private banks, and 5 billion rubles were in bonds. The concern's presentation in 2009 stated that 75% of the loan portfolio is secured debt, that is, loans were taken out as collateral for enterprises. What to do with such seemingly overwhelming obligations?

There was no point in thinking about raising funds to pay debts from the stock market against the backdrop of global financial cataclysms. Nevertheless, Bolotin did not refuse the IPO and held it in December 2008, at the height of the crisis. The placement was carried out by the little-known German investment bank Equinet. Kai Winkelmann, manager of Equinet, in response to Forbes’ request to talk about this operation, laughed cheerfully, but then stopped short: “No, there was nothing funny. A normal placement, which was carried out strictly according to the rules of the Frankfurt Stock Exchange.” The size of the placement was unusual - only 1%. The figure also discouraged the former general director of Tractor Plants, Semyon Mlodik (he worked in senior positions in the concern since 1997 and left Bolotin at the end of 2007): “I read about this with surprise, you cannot influence investors with such methods, the package must be at least 25%.”

Nevertheless, the small stake was sold; the bank that carried out the placement made special efforts to do so. One of the Equinet reports states that Tractor Plants, among other things, was provided with the Designated Sponsoring service - “Guarantee of additional trading liquidity.” Why was this necessary?

“This was an indicative, technical placement to determine the value of the company for potential investors,” explains Mikhail Bolotin. However, the value of the company, based on the price at which a small stake was sold to someone, turned out to be simply crazy - €2.5 billion, while the entire Russian automobile industry (GAZ, KamAZ, AvtoVAZ and Sollers) was then valued at €1.5 billion

It is clear that not a single commercial bank would agree with such an assessment of Tractor Plants. However, during the crisis they were not even considered as a source of funds. In Russia, money could only be taken from the state and its financial institutions.

In December 2009, the supervisory board of Vnesheconombank (VEB) decided to finance the financial rehabilitation program of Tractor Plants in the amount of 15 billion rubles over seven years. Did the concern's capitalization on the Frankfurt Stock Exchange matter for the negotiations with VEB? “Absolutely,” admits Bolotin. VEB refused to answer the question.

“Perhaps this operation artificially inflated the capitalization of the concern for portfolio investors, who were not found in the end,” says Andrey Rozhkov, senior analyst at Metropol Investment Company. “Then VEB appeared, but they rather believed not in this capitalization, but in the government, which asked to issue a loan to the concern.”

Subsequent events confirmed this version. In April 2010, the concern stopped listing its shares on the Frankfurt Stock Exchange. According to Bolotin, this was done at the request of VEB. He allocated money on the security of 100% of the concern’s shares - in other words, if the funds are not returned, VEB will get Tractor Plants for less than €400 million, that is, more than six times cheaper than “Frankfurt capitalization”. But it was very difficult for Bolotin and Bakov to hold even this tit in their hands.

In the spring of 2010, arbitration courts began to satisfy claims of creditors against the group's structures. The cases won were MDM Bank, Ak Bars Finance Investment Company and some others. As expected, Alfa Bank, one of the concern’s main creditors, also went to court. According to Forbes, the debt to Alfa was about $140 million. The concern did not have the money to pay off loans and buy back bonds. Creditors could take Tractor Plants apart piece by piece.

And then a miracle happened. Having not yet allocated funds from the approved loan to the concern, VEB management promised that it would take part in restructuring the debt of Tractor Plants. After this, creditors one after another began to agree to restructuring.

The biggest problem was Alfa Bank, whose position on the return of debts from Oleg Deripaska’s companies, for example, even President Medvedev could not influence. Alpha was not going to give in when dealing with the debts of Tractor Plants. Why did they go to war? According to a senior Alpha employee, this decision was made at one of the credit committee meetings. The co-owners of Alpha explained this by calling one of them from Vladimir Putin, who made a corresponding request. The bank began to withdraw claims against the concern’s enterprises, and then completely assigned the debts to Rosselkhozbank.

Why did Putin take up solving Bolotin’s problems? “It’s not about Bolotin, but about the personal relationship between Vladimir Vladimirovich and Nikita Sergeevich,” explains a source in Alpha. Albert Bakov is married to the eldest daughter of the famous film director and entrepreneur Nikita Mikhalkov, Anna. Bolotin did not answer the question about Putin’s call to Alpha.

“I know [Alfa co-owners] Peter Aven and Mikhail Fridman. To talk to them, you don’t need to ask Nikita Sergeevich, I know that they are both against such a solution to issues,” Bakov assures. - Yes, and Vladimir Vladimirovich is unlikely to deal with such things. If our engineering company were not what it is now, no family connections would have helped us.”

Be that as it may, Tractor Plants reassured the creditors. According to VEB representative Ekaterina Karasina, a “program for the recovery and innovative development of the concern” was launched in July. In September, the FAS approved the purchase by VEB of 100% of the shares of Machinery & Industrial Group, the parent company of Tractor Plants. The Bolotin Empire will now develop under the control of bankers.

At the end of 2010, the head of VEB, Vladimir Dmitriev, announced that VEB would get rid of non-core assets, including Tractor Plants. In January, Dmitriev announced that he intended to attract a new team to manage the concern. Bolotin says that VEB still cannot find a better team than his. Demand is returning, he assures. In 2012–2013, Bolotin plans to conduct a full-fledged IPO and repay the VEB loan.

And only Bolotin’s former ally Semyon Mlodik is skeptical about the future of Tractor Plants. Mlodik was a supporter of the concern's development only in the sector of industrial tractors and military equipment. Bolotin spent huge sums of money on buying up enterprises producing agricultural machinery, the demand for which dropped sharply during the crisis and continues to fall. In January - October 2010, 5882 tractors were produced in Russia, and during the same period in 2009 - 6953. In 10 months of 2010, 4271 combines were produced - 2295 less than a year earlier. There is, of course, also a Nigerian project... “Without the support of VEB or other institutions, the Tractor Plants concern will no longer be able to exist,” Mlodik believes. And with their support, it will be a different concern - not the one that Mikhail Bolotin put together for so long.
